Terms of Service

These Terms of Service ("Terms") govern your access to and use of the megladental.eu website and the Rachel AI service (together, the "Service"), provided by Megla Dental ("Megla Dental," "we," "us," or "our"), Citywest Business Campus, Dublin, Ireland. By accessing our website, requesting a demo call, booking a consultation, or entering into an agreement for Rachel AI, you agree to be bound by these Terms.

1. Description of Service

Rachel AI is an AI-powered virtual receptionist service designed for dental and healthcare practices. Rachel AI can answer inbound calls, respond across SMS, email, WhatsApp, Instagram, Messenger, and website chat, book and manage appointments, send reminders and recall campaigns, and place outbound calls to leads and patients, subject to the plan and configuration agreed with your practice.

2. Eligibility

The Service is intended for use by dental and healthcare practice owners, managers, and authorised staff acting on behalf of a practice. By using the Service, you confirm you have the authority to act on behalf of the practice you represent and to provide any data submitted through our website or demo tools.

3. Demo Calls and the Practice Assessment

Our website allows you to request a live demonstration call from Rachel AI and to complete a short practice assessment. By submitting your details through these tools, you consent to receiving an automated call from Rachel AI at the number provided, and to Megla Dental using your details to follow up with you about the Service. Estimates shown as part of the practice assessment (including any estimated monthly revenue figures) are illustrative only, based on industry averages, and are not a guarantee of results for your specific practice.

4. Subscriptions and Billing

Paid access to Rachel AI is offered under subscription packages described on our website or in a separate order form or agreement (currently, "Inbound" and "Inbound + Outbound" plans). Subscriptions are billed monthly unless otherwise agreed in writing. You are responsible for providing accurate billing information and for all charges incurred under your account. Specific pricing, contract length, and cancellation terms for your practice will be set out in your order form or service agreement, which takes precedence over this general description in the event of any conflict.

5. Third-Party Services and Integrations

The Service relies on and integrates with third-party providers, including but not limited to voice AI infrastructure (such as Retell and ElevenLabs), scheduling software (Cal.com), automation and workflow platforms (such as Make.com and GoHighLevel), and, where applicable, your practice's own practice management system (such as Dentally, Pabau, or Aerona). We are not responsible for outages, errors, or changes made by these third-party providers that are outside our reasonable control, though we will use reasonable efforts to minimise disruption to your Service.

6. AI Disclosure and Call Recording

Rachel AI clearly discloses that callers are speaking with an AI system at the start of relevant calls, in line with GDPR and EU AI Act requirements. Calls handled by Rachel AI, including demo calls requested through our website, may be recorded for quality assurance, training, and dispute-resolution purposes. Where Rachel AI is deployed for your practice, you are responsible for ensuring your own patient-facing disclosures and consents comply with the laws applicable to your practice and jurisdiction.

7. Acceptable Use

You agree not to use the Service to: violate any applicable law or regulation; transmit false, misleading, or fraudulent information; harass, abuse, or harm another person; interfere with or disrupt the integrity or performance of the Service; or attempt to gain unauthorised access to the Service or its related systems.

8. Intellectual Property

The Service, including its software, voice models, branding, and content, is owned by Megla Dental and its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right to use the Megla Dental or Rachel AI name, logo, or branding without our prior written consent.

9. Data Protection

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. Where Megla Dental processes patient data on behalf of your practice as part of a paid subscription, the parties' respective data protection obligations will be set out in a separate data processing agreement.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. While we work to keep Rachel AI accurate, reliable, and available, we do not guarantee that the Service will be uninterrupted, error-free, or that it will identify or handle every call, message, or scenario correctly. Genuine clinical or emergency situations should always be directed to appropriate emergency or clinical channels; Rachel AI is a front-desk and administrative tool, not a substitute for clinical judgment.

11. Limitation of Liability

To the maximum extent permitted by law, Megla Dental shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Megla Dental in the twelve (12) months preceding the claim.

12. Termination

Either party may terminate a subscription in accordance with the cancellation terms set out in the applicable order form or service agreement. We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, or fail to pay applicable fees.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of Ireland, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
